1. Agreement to Terms

By accessing or using ClinicWarden (the "Service"), operated by Shift Warden LLC d/b/a ClinicWarden ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

ClinicWarden is a compliance tracking platform designed for behavioral health clinics. The Service helps organizations track treatment plan deadlines, manage clinician workloads, and maintain audit-ready records.

Important: ClinicWarden is NOT an Electronic Health Record (EHR) system and should not be used to store Protected Health Information (PHI). Use client identifiers only — not patient names or clinical information.

ClinicWarden provides compliance workflow infrastructure but does not guarantee regulatory compliance. The platform does not review, validate, or guarantee the accuracy of uploaded documentation. The Covered Entity remains responsible for ensuring regulatory compliance.

3. User Accounts

To use the Service, you must:

• Create an account with accurate and complete information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account
• Be at least 18 years of age

You are responsible for all activities that occur under your account.

4. Subscription and Payment

Pricing

Our pricing is based on the number of clinicians in your organization. Current plans and pricing are available on our website.

Free Trial

New accounts receive a 14-day free trial. No credit card is required to start the trial.

Billing

Subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by law.

Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period.

5. Acceptable Use

You agree NOT to:

• Store Protected Health Information (PHI) or patient names in the Service
• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service
• Share your account credentials with unauthorized users
• Reverse engineer or attempt to extract the source code

6. Data Ownership

You retain ownership of all data you input into the Service. We do not claim ownership of your content. You grant us a limited license to use your data solely to provide the Service.

You may export your data at any time using our export features.

7. Uploaded Documentation

ClinicWarden allows users to upload compliance documentation for record-keeping purposes. ClinicWarden does not review, validate, or guarantee the accuracy of any uploaded documentation. The uploading organization is solely responsible for ensuring that all uploaded materials are accurate, current, and compliant with applicable regulations.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. ClinicWarden is a compliance tracking tool and does not guarantee regulatory compliance.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIFT WARDEN LLC D/B/A CLINICWARDEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Shift Warden LLC d/b/a ClinicWarden from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account at any time for violation of these Terms. Upon termination, your right to use the Service will cease immediately.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by the laws of the State of New York, without regard to its conflict of law provisions.
